SEJ acquires PEC

The President of the Office of Competition and Consumer Protection has issued consent for concentration entailing the acquisition of control over Przedsiębiorstwo Energetyki Cieplnej S.A. with its registered offices in Jastrzębie-Zdrój by Spółka Energetyczna "Jastrzębie" S.A. with its registered offices in Jastrzębie-Zdrój, a company belonging to the JSW Capital Group.

This decision will facilitate the transfer of the ownership of shares in PEC S.A. to the investor. According to the agreement of 29 September of this year, the State Treasury Minister sold the 85% stake owned by the State Treasury in Przedsiębiorstwo Energetyki Cieplnej S.A. to Spółka Energetyczna "Jastrzębie" S.A. The value of the transaction is PLN 144,500,000.00.

“We will strengthen the position of the JSW Capital Group on the energy market through today’s transaction. This is also a step in the direction of creating a large regional heat and power utility”, says Mariusz Nonna-Bachoń, Vice-President of SEJ SA.

Implementing the Jastrzębska Spółka Węglowa Capital Group’s energy strategy entailed acquiring control over PEC, with one of its tenets being development in electricity and heat through this acquisition. The objective of this concentration is to achieve a vertically-integrated capital group with low operating expenses which by leveraging synergy will operate efficiently on local heat markets.
