Open letter to Representative Trade Union Organizations operating at JSW SA

Dear Sirs/Madams,

On Tuesday, 30 December, another round of talks took place. Unfortunately, it has still not been possible to reach an agreement between the Management Board and the trade unions. We strongly urge you once again to be open to reaching a compromise and approving the solutions contained in the Restructuring Plan, as the Company's situation today requires immediate decisions and no further postponement of key resolutions.

We would like to reiterate that the scale of challenges currently facing JSW is unprecedented, and the margin of time for action is shrinking every day. The government has declared its readiness to provide support and has indicated solutions that could strengthen the Company's stability. However, the implementation of this aid is conditional on the cooperation of the social partners and the adoption of agreements that will enable the Restructuring Plan to be put into effect.

As the Management Board, we are fully aware of the weight of responsibility that rests on us. We are taking steps to stabilize JSW’s situation and restore its financial security. At the same time, we must not lose sight of what is the most important: the jobs of tens of thousands of people, the social security of miners' families, and the stability of the Polish economy in the area of coking coal, a strategic raw material. Behind these concepts are real people, their homes, and the future of entire communities.

In the context of a deep recession in the steel industry, for which Jastrzębska Spółka Węglowa is a supplier of key raw materials, the attitude of the trade unions is now crucial to the success of the Restructuring Plan. The current market environment effectively prevents the Company from bearing the costs and risks on its own, without changes and without external support. Therefore, we appeal for an approach based on responsibility and willingness to compromise—one that will protect the foundations of JSW's operations and secure its future.

Our goal is to restore profitability and ensure JSW's long-term financial security. In order for this plan to be effectively implemented, arrangements with trade unions regarding a temporary reduction in labor costs are necessary. Repeated talks have failed to produce a breakthrough, and time pressure is increasing dramatically with each passing day. Without an agreement, we will not be able to implement restructuring measures on a scale that will save jobs.

We declare our readiness to continue talks immediately, at any time you specify. At the same time, we must make it clear that the dialogue must take into account the legal and economic conditions in which JSW operates, as well as the limitations resulting from the market and financial situation. Only an immediate compromise can protect JSW from a scenario whose consequences would be irreversible for both employees and the entire region.

Shared responsibility—towards employees, their families, and the future of the Company—requires decisions today that will be very difficult but necessary.

Respectfully yours,
Management Board of Jastrzębska Spółka Węglowa S.A.
