The Management Board of Jastrzębska Spółka Węglowa S.A. ["Company", "JSW"] informs that on August 5, 2025, the Company received the decision of the District Court in Gliwice, 10th Commercial Division of the National Court Register on the registration of the amendments to the Company's Articles of Association on registration on August 4, 2025. The amendments to the Company's Articles of Association were adopted by Resolution no. 45 of the Ordinary Shareholder Meeting of JSW of July 21, 2025.
The Company provides the text of the amended provisions of the Articles of Association and the consolidated text of the Articles of Association of JSW in the attachment to this report.
Moreover, the Company reports that the Court’s decision contains an obvious copywriting error in the form of adding a section 12 [1] to § 18 of the Articles of Association of JSW S.A., where adding the specified section was not part of resolution number 45 adopted by JSW’s Ordinary Shareholder Meeting on 21 July 2025, nor was it the subject matter of the Company’s application to amend the data in the register of business entities. Accordingly, the Company has petitioned KRS, the court of registration, to rectify the Court’s decision in question.
