Body of the report:
With reference to Current Reports No. 14/2026 dated 9 March 2026, No. 49/2026 dated 30 June 2026 and No. 53/2026 dated 31 July 2026 concerning the agreement for the sale of shares held by JSW S.A. in Przedsiębiorstwo Budowy Szybów S.A. and in Jastrzębskie Zakłady Remontowe Sp. z o.o. to ARP S.A. [“PSPA”], as well as with reference to Current Report No. 56/2026 dated 17 August 2026, the Management Board of Jastrzębska Spółka Węglowa S.A. [“JSW,” “Company”], hereby reports that on 30 October 2026, JSW and Agencja Rozwoju Przemysłu S.A. [“ARP”] entered into Annex No. 3 to the PSPA.
Pursuant to Annex No. 3, the following terms of the PSPA have been amended:
The End Date is being moved from 31 October 2026 to 30 November 2026.
If JSW and ARP enter into a loan agreement in connection with the application referred to in Current Report No. 56/2026, JSW will repay to ARP the advance payments made toward the Preliminary Purchase Price, plus interest.
If any of the conditions precedent are not satisfied by the End Date, ARP will be entitled to terminate the PSPA by submitting a written notice of termination to JSW within 2 months of the End Date, unless JSW and ARP enter into a loan agreement by the End Date. In such a case, the PSPA will be automatically terminated on the date JSW repays the advance payments toward the Preliminary Purchase Price. The PSPA will also be automatically terminated on the date JSW repays the advances toward the Preliminary Purchase Price if such a loan agreement is entered into after the End Date, but no later than 31 December 2026.
