Selection of an auditor

 

Body of the report:

The Management Board of Jastrzębska Spółka Węglowa S.A. (“Company”, “JSW”) hereby announces that on 23 March 2015 the Company’s Supervisory Board selected Deloitte Polska Spółka z ograniczoną odpowiedzialnością spółka komandytowa with its registered office in Warsaw at Al. Jana Pawła II 19 as the entity authorized to audit the financial statements of JSW for the years 2015 and 2016, the consolidated financial statements of the JSW Group for the years 2015 and 2016 together with an audit of the financial statements of the JSW Group subsidiaries, as well as to perform a review of the interim financial statements for the first half of 2015 and 2016 and the interim consolidated financial statements of the JSW Group for the first half of 2015 and 2016.

The Company’s Supervisory Board selected the auditor pursuant to § 20 Section 2 Item 6 of the Company’s Articles of Association. The selection was made in compliance with applicable regulations and professional standards.

Deloitte Polska Spółka z ograniczoną odpowiedzialnością spółka komandytowa is entered in the list of entities authorized to audit financial statements under the number 73.

A relevant agreement will be entered into for a term enabling the performance of the subject matter thereof.

To date, the Company has cooperated with Deloitte Polska Sp. z o.o. sp. k. (formerly Deloitte Audyt Sp. z o.o.) in the following areas: an audit of the financial statements of JSW for the years 2013 and 2014, of the consolidated financial statements of the JSW Group for the years 2013 and 2014 together with an audit of the financial statements of the JSW Group subsidiaries, a review of the Company’s interim financial statements for the first half of 2014 and of the interim consolidated financial statements of the JSW Group for the first half of 2014, the conduct of procedures associated with the issuance of Comfort Letters related to the Bond Issue Process in international markets and consulting services, including in respect of the verification and settlement of the acquisition of the Knurów-Szczygłowice Coal Mine.

Legal basis: § 5 Section 1 Item 19 of the Regulation issued by the Finance Minister on 19 February 2009 on the Current and Periodic Information Transmitted by Securities Issuers and the Conditions for Recognizing the Information Required by the Regulations of a Non-Member State as Equivalent.
