Information regarding the commencement of preparations for conducting the process of restructuring the business of the JSW S.A.

In reference to information regarding the Company's very challenging liquidity position and also in reference to current report no. 90/2025 in which it advised of having to submit to the Consortium of Financial Institutions the underlying assumptions for its Remedial Plan and a simplified financial model, the Management Board of Jastrzębska Spółka Węglowa S.A. ["Company", "Issuer"] reports that on 11 October 2025 it adopted a resolution regarding the commencement of preparations for conducting the process of restructuring the business ["Process"] aimed at stabilizing the Company's liquidity position.

The first stage of work entails designing the Process encompassing the stabilization of its short and mid-term liquidity position, including an agreement with the social partner to adjust the payroll costs to the Company's current situation, developing new terms and conditions of financing with financial institutions and devising the possible forms of support from the State Treasury. The execution of this stage is slated for completion by the end of January 2026. As part of this stage, with the support of an external advisor, the Management Board intends to finalize work on the underlying assumptions for the remedial plan, the road map and a simplified financial model by the target date of 31 October 2025.

The products of the work described above will make it possible to determine the next remedial / restructuring steps and the framework for the operation of JSW and the JSW Group in the long-term perspective.

The Company will report further material decisions in this matter in the form of the appropriate current reports.
