Body of the report: 

With reference to Current Report No. 56/2024 and 111/2025, the Management Board of Jastrzębska Spółka Węglowa S.A. [“JSW”, “Company”] hereby reports that on 6 December 2025 it obtained access to the wording of the judgment by the Regional Court in Gliwice, 10th Commercial Division [“Regional Court”] of 5 December 2025 in this case [case file no. X GC 498/24]. The Regional Court declared invalidity of the following resolutions adopted by the Extraordinary Shareholder Meeting of JSW on 25 October 2024:

a) resolution No. 4 on repealing Resolution No. 12 of the defendant’s Ordinary Shareholder Meeting dated 23 July 2024 on granting a discharge to Tomasz Cudny,
b) resolution No. 5 on repealing Resolution No. 13 of the defendant’s Ordinary Shareholder Meeting dated 23 July 2024 on granting a discharge to Sebastian Bartos,
c) resolution No. 7 on repealing Resolution No. 15 of the defendant’s Ordinary Shareholder Meeting dated 23 July 2024 on granting a discharge to Robert Ostrowski,
d) resolution No. 8 on repealing Resolution No. 16 of the defendant’s Ordinary Shareholder Meeting dated 23 July 2024 on granting a discharge to Edward Paździorko,
e) resolution No. 9 on a refusal to grant a discharge to Tomasz Cudny on the performance of his duties in 2023,
f) resolution No. 10 on a refusal to grant a discharge to Sebastian Bartos on the performance of his duties in 2023, 
g) resolution No. 12 on a refusal to grant a discharge to Robert Ostrowski on the performance of his duties in 2023, 
h) resolution No. 13 on a refusal to grant a discharge to Edward Paździorko on the performance of his duties in 2023.

The judgment is not final and non-appealable.
