Body of the report: 

The Management Board of Jastrzębska Spółka Węglowa S.A. ["JSW S.A.", "Acquiring Company"] with reference to Current Reports No. 94/2025, 99/2025 and 108/2025, hereby reports that on 31 December 2025 it was notified that on the same day the District Court Katowice – Wschód in Katowice, 8th Commercial Division of the National Court Register, issued a decision on the merger of JSW S.A. with its subsidiary, JSW Nowe Projekty S.A. ["Acquired Company"] pursuant to Article 492 § 1(1) of the Commercial Company Code in conjunction with Article 516 § 1 and § 6 of the Commercial Company Code by transferring all the assets of the Acquired Company to the Acquiring Company [the so-called merger by acquisition] in a simplified procedure. Pursuant to Article 494 of the Commercial Companies Code, JSW S.A. assumed all rights and obligations of the acquired company.
