Appointment of JSW S.A. Supervisory Board Members – supplement

Body of the report:

As a supplement to Current Report No. 48/2019, the Management Board of Jastrzębska Spółka Węglowa S.A. (“Company”) hereby provides information about the education, qualifications and previous positions, together with a description of the professional career, of Mr. Stanisław Prusek and Mr. Robert Tomanek who have been appointed to serve as Members of the Company’s Supervisory Board of the 10th term.

Mr. Stanisław Prusek is a professor of technical sciences and a graduate of the Faculty of Mining and Geology of the Silesian University of Technology. Since 2015, he has served as the Director of the Central Mining Institute. He joined the Central Mining Institute in 1991, where in 2003-2015 he headed the Mining Technology and Roof Support Department. He is a recognized expert in the fields of mining and engineering geology. In his scientific and research work, he deals with issues related to underground mining of hard coal seams, in particular the selection and design of mining roof supports, forecasting of longwall roadway deformations and reconsolidation of goafs. He has authored and co-authored several monographs and approx. 200 publications in renowned national and international journals in which he has published the outcomes of his research. He co-authored more than 70 applications for the recognition of inventions and utility designs, which have won a number of awards and distinctions in various national and international contests.  Professor Stanisław Prusek headed various teams appointed under the auspices of the Central Mining Institute in a variety of national and international projects, cooperating with research centers in Europe and across the world. He personally performed a number of research and service assignments commissioned by hard coal mines and mining support companies. In 2010, Professor Prusek received the Witold Budryk Memorial Award for Scientific Achievements granted by the 7th Department of the Polish Academy of Sciences. In 2013, he received the A.M. Terpigorev Memorial Medal granted by the Ministry of Education and Science of Ukraine and, in 2015, the Gold Medal of the National Mining University in Dnipropetrovsk. He is a member of the Australasian Institute of Mining and Metallurgy, the International Organizing Committee of the World Mining Congress and a member of the Presidium of the Mining Committee of the Polish Academy of Sciences. He serves as Vice-Chairman of the Commission on Risks in Mines in the field of excavation roof supports and caving hazards operating at the State Mining Authority (WUG). He is a visiting professor at Henan Polytechnic University in China.

At the same time, the Company reports that in accordance with the submitted representation, Mr. Stanisław Prusek is not listed in the Register of Insolvent Debtors kept pursuant to the National Court Register Act, is not involved in any activities competing with the Company’s business and is not a partner in any civil law company or partnership, nor is he a member of any corporate body of a capital company, nor is he a member of any corporate body of any competitive legal persons.

Mr. Robert Tomanek, Ph.D. Hab., a professor and rector of the University of Economics in Katowice. He has authored and co-authored over 174 publications, including 11 monographs. Since 1998, he has completed, as the sole author or as a co-author, over 30 commissioned research and implementation projects involving, among other issues, the restructuring of transportation companies, transportation policies and strategies in regions and cities as well as the optimization of transport economy in the public sector. He acquired his knowledge and experience in various high-profile positions, including as deputy director and advisor in the GOP Municipal Transportation Society (1992-2004), chairman of the Transportation Commission of the Polish Academy of Sciences in the Katowice branch (2010-2014) and vice-chairman of this Committee from 2014 to 2018. In 2014-2016, he served as a member and vice-chairman of the Supervisory Board of Polskie Radio Katowice S.A. In 2017-2019 (until 4 July 2019), he was a member of the Supervisory Board of Węglokoks S.A. where he served as vice-chairman of the Supervisory Board and then as head of the Audit Committee. Furthermore, since 2005 he has been a member of the Editorial Board of “Transport Miejski i Regionalny” [“Urban and Regional Transport”] and since 2009 a member of the Program Council of the “Transport Problems” quarterly journal.

At the same time, the Company reports that in accordance with the submitted representation, Mr. Robert Tomanek is not listed in the Register of Insolvent Debtors kept pursuant to the National Court Register Act, is not involved in any activities competing with the Company’s business and is not a partner in any civil law company or partnership, nor is he a member of any corporate body of a capital company, nor is he a member of any corporate body of any competitive legal persons.
