Body of the report:

The Management Board of Jastrzębska Spółka Węglowa S.A. (“Company”) hereby announces the attached resolutions adopted by the Company’s Ordinary Shareholder Meeting (“OSM”) on 23 June 2017.

At the request of the Chairman, the Company’s Ordinary Shareholder Meeting decided to withdraw from examining the following items of the Agenda:

4.   Select the Election Committee of the Ordinary Shareholder Meeting.

14. Adopt resolutions on the following matters:

1. disposal of non-current assets,

2. contract procedure rules for entering into agreements to provide legal services, marketing services, public relations and social communication services and management consulting services and when amending them,

3. contract procedure rules for entering into donation agreements, debt forgiveness agreements and other agreements with a similar effect by the Company,

4. rules and procedure for disposal of non-current assets,

5. obligation to submit a report on entertainment expenditures, expenditures for legal services, marketing services, public relations and social communication services and management consulting services,

6. setting requirements for a candidate for the Company’s Management Board,

7. appointment of a Management Board member and recruitment procedure for a Management Board member,

8. fulfillment of obligations arising from Article 17 Section 7, Article 18 Section 2, Article 20 and Article 23 of the Act on Rules for Managing State Property.

The Company’s Management Board reports that no objection was requested to be recorded in the minutes.

Legal basis: § 38 Section 1 Items 7, 8, 9 of the Regulation issued by the Finance Minister on 19 February 2009 on current and periodic information submitted by issuers of securities and conditions for recognizing as equivalent information required by the laws of a non-member state.
