Completion of the initial public offering of JSW S.A. series A and B shares – follow-up report

 

Legal Basis:   Article 56 Section 1 Item 2 of the Act on Offerings – current and periodic information

Body of the Report:

In connection with the final settlement of costs associated with the Company’s initial public offering, the Management Board of Jastrzębska Spółka Węglowa S.A. (“Company”) hereby supplements the information on the initial public offering (“IPO”) of the Company’s shares presented in Report No. 17/2011 of 15 July 2011.

12) Specification of total costs classified as costs incurred in connection with the IPO, indicating the amounts broken down by specific types of costs:

Total costs incurred in connection with the IPO: PLN 13,774,727.70 (without taking into account any costs incurred by the State Treasury) broken down into the following cost groups:

a) preparation and conduct of the IPO:  PLN 2,497,458.94,

b) underwriters’ fee: PLN 0.00,

c) preparation of the issue prospectus, taking into account the costs of consulting: PLN 9,790,160.52,

d) promotion of the IPO: PLN 1,487,108.24.

Indication of the method of settlement applied in the Company’s accounting ledgers to the costs presented in item 12: the IPO costs are recognized as costs of the period.

Indication of the method of capturing the above costs in the Company’s financial statements: the above costs are charged to the financial result of the period.

13) Average cost of subscription or sale per security covered by the subscription or sale:

The IPO cost per share was PLN 0.35. This amount does not take into account any costs incurred by the State Treasury.
