Appointment of JSW S.A.’s Management Board President

 

Body of the Report:

The Management Board of Jastrzębska Spółka Węglowa S.A. (“Company”, “JSW S.A.”) hereby announces that on 20 April 2015 the Company’s Supervisory Board unanimously adopted a resolution to appoint, as of 27 April 2015, Mr. Edward Szlęk to the position of President of the Management Board of the 8th term.  Mr. Edward Szlęk does not conduct activity competitive to that of the Company and is not involved in any competitive business as a partner in a civil law company or partnership or as a member of a corporate body of a capital company, or participate in another competitive legal person as a member of its corporate body. Furthermore, he is not entered in the Register of Insolvent Debtors kept pursuant to the National Court Register Act.

The following is an overview of his education, qualifications and previous jobs and a description of his professional career.

Mr. Edward Szlęk is a graduate of the Electrical Department of the AGH University of Science and Technology in Kraków. From the beginning of his professional career he has actively participated in the development and management of companies from the steel, chemical and coking industry.

Participated in numerous technical and organizational traineeships in leading European companies.

Completed post-graduate IT studies at the AGH University of Science and Technology.

Completed management studies at the Scientific Society for Organization and Management.

His special interests lie in looking for synergies in capital group management and achieving the cost leader position.

Since 1990 he has been involved in management, development and restructuring of companies of significant importance for the Polish economy.

He has carried out effective restructuring of such companies as Huta “Zawiercie” S.A., Stalexport S.A. and Zakłady Chemiczne “Alwernia” S.A. All these companies operated within capital groups listed on the Warsaw Stock Exchange.

Since 2007 he has been managing JSW S.A.’s biggest coal processing company – Koksownia Przyjaźń. 

Over the past two years he worked on integration of Koksownia Przyjaźń and Kombinat Koksochemiczny “Zabrze”, leading to establishment of JSW KOKS S.A., a company managing four coking plants and processing over 5 million tons of coal p.a., effectively competing in the European and global coke market. This way he has completed the process of establishing a coal-and-coke group within JSW.
