Body of the report:
The Management Board of Jastrzębska Spółka Węglowa S.A. (“Company”, “JSW S.A.”) hereby announces that during the Company’s Extraordinary Shareholder Meeting held on 31 Mar 2015 a representative of the State Treasury, a majority shareholder of JSW S.A., presented a statement on dismissing Mr. Adam Rybaniec from the Company’s Supervisory Board and on appointing Ms. Agnieszka Trzaskalska to the Company’s Supervisory Board. These changes were made pursuant to § 15 Sections 12 and 13 of the Company’s Articles of Association. The said statement was submitted to Mr. Jerzy Borecki in his capacity as President of the Management Board.
Ms. Agnieszka Trzaskalska is a graduate of doctoral studies at the Faculty of Law and Administration of the University of Warsaw and a graduate of the Faculty of Law and Administration of the University of Silesia where she completed her studies in law. Since 1999, she has worked for the State Treasury Ministry acquiring experience in various positions in the fields of corporate governance and supervision and ownership transformation processes. Currently, she is Deputy Director of the Department of Ownership Transformation and Privatization where she coordinates and oversees projects involving the sale of State Treasury-held stakes in various companies. She has gained extensive experience in the areas of company law, corporate governance and transformation processes in economic operators, also as a member of supervisory bodies in commercial companies and other entities, including in the following positions: Deputy Chairwoman of the Supervisory Board of PLL LOT S.A., Member of the Supervisory Board of Polskie Górnictwo Naftowe i Gazownictwo S.A. from May to July 2014, Deputy Chairwoman of the Supervisory Board and then Member of the Supervisory Board of TAURON POLSKA ENERGIA S.A. in 2007-2014, Deputy Chairwoman of the Supervisory Board of LOTOS Petrobaltic S.A. in 2007-2012, Member of the Board of the Polish Students Parliament Foundation in Warsaw in 2000-2003. Currently, she is Deputy Chairwoman of the Supervisory Board of GRUPA LOTOS S.A.
According to her representation, Agnieszka Trzaskalska is not involved in any activities competitive to those she performs at JSW S.A. She is not a partner in any civil law company or partnership, nor is she a member of any corporate body of a joint stock or limited liability company, nor is she involved in any other competitive legal person as a member of its corporate body. She is not listed in the Register of Insolvent Debtors kept pursuant to the National Court Register Act.
