Body of the Report:

The Management Board of Jastrzębska Spółka Węglowa S.A. [“JSW”, “Company”] hereby reports that on 17 April 2024 the Company’s Supervisory Board adopted resolutions to dismiss, as of 6 May 2024, Mr. Robert Ostrowski from the position of Vice-President of the Management Board for Financial Matters of the 11th term of office.

Reasons for the dismissal of the aforementioned person were not specified.

At the same time, the Company’s Supervisory Board adopted resolutions to:

• appoint, as of 30 April 2024, Mr. Ryszard Janta as the President of the Management Board of the 11th term of office,
• appoint Mr. Ryszard Janta as acting Vice-President of the Manaagement Board for Development Matters in the period from 30 April 2024 to 6 May 2024. In the above period Mr. Ryszard Janta will also remain President of the Management Board,
• appoint, as of 6 May 2024, Mr. Remigiusz Krzyżanowski as the Vice-President of the Management Board for Financial Matters of the 11th term of office,
• appoint, as of 6 May 2024, Mr. Jarosław Kluczniok  as the Vice-President of the Management Board for Development Matters of the 11th term of office.

At the same time, the JSW Management Board reports that, in accordance with the submitted representations, the aforementionedpersons, i.e.: Mr. Ryszard Janta, Mr. Remigiusz Krzyżanowski and Mr. Jarosław Kluczniok are not involved in any activities competitive to those they perform at JSW, are not partners or shareholders in any competing civil law company, partnership or capital company, nor are they involved in any other competitive legal person as members of its governing body. The newly appointed persons are not entered in the Register of Insolvent Debtors kept pursuant to the provisions of the National Court Register Act and in the National Register of Indebted Persons kept pursuant to the Act of 6 December 2018 on the National Register of Indebted Persons.

The Company will provide the other information about the above persons, which is required by the Regulation issued by the Finance Minister on 29 March 2018 on the Current and Periodic Information Transmitted by Securities Issuers [...] are attached to this current report.
